Terms of Service

Effective Date: February 4, 2026

1. ACCEPTANCE OF TERMS

By accessing or using the Econblox AI Business Advisor platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Econblox (a division of Toteflix Inc.).

2. SERVICE DESCRIPTION

2.1 What We Provide

Econblox provides an AI-powered business advisory platform that delivers strategic business guidance based on economics principles. The Service utilizes artificial intelligence technology (powered by Anthropic's Claude API) to analyze your business questions and provide recommendations drawn from a comprehensive knowledge base of professional economics training content.

2.2 What We Are NOT

CRITICAL: We are NOT a registered investment adviser, financial planner, or securities broker.

This Service provides business strategy advice, not personal investment advice. See Section 6 below for complete investment advice disclaimers and restrictions.

3. SUBSCRIPTION TERMS

3.1 Subscription Period

  • Standard subscriptions are for a one-year term from the date of purchase
  • Subscriptions with different terms will be clearly specified at the time of purchase
  • All subscriptions automatically renew unless cancelled prior to the renewal date

3.2 Pricing and Payment

  • Subscription fees are charged in advance for the subscription period
  • Prices are subject to change with notice for existing subscribers
  • All fees are non-refundable except as required by law (see Section 5.2)

3.3 Auto-Renewal

  • Your subscription will automatically renew at the end of each term
  • You will be charged using your payment method on file
  • You may cancel auto-renewal at any time before the renewal date (see Section 5.1)

3.4 Payment Processing

  • All payments are processed securely through ThriveCart
  • We do not store your complete credit card information
  • You are responsible for maintaining valid payment information

4. AI TOKEN USAGE AND FAIR USE POLICY

4.1 Token-Based Service

The Service operates using AI API tokens that process your requests. Each subscription tier includes reasonable token usage for normal business consulting activities.

4.2 Fair Use Standards

Normal use includes:

  • Strategic business questions and planning
  • Business analysis and decision-making support
  • Project-based work and action tracking
  • Reasonable consultation sessions

Unreasonable use includes but is not limited to:

  • Automated bulk queries or systematic data extraction
  • Using the Service to build competing products or services
  • Excessive repetitive queries on identical topics
  • Sharing account access with multiple users
  • Running the Service continuously or in automated loops
  • Any use that consumes tokens at rates significantly exceeding typical business advisory needs

4.3 Right to Monitor and Limit Usage

  • We reserve the right to monitor token usage patterns
  • We may contact you regarding unusual usage patterns
  • We reserve the right to suspend or terminate accounts engaged in unreasonable token usage
  • In cases of abuse, termination may occur without refund

4.4 Service Availability

We strive to provide continuous service availability but do not guarantee uninterrupted access. We may suspend the Service for:

  • Maintenance and updates
  • Security or technical issues
  • Prevention of abuse or unauthorized access
  • Compliance with legal requirements

5. CANCELLATION AND REFUNDS

5.1 How to Cancel

To cancel your subscription, you must send written notice via email to: support@econblox.com

Required information:

  • Your account email address
  • Your full name
  • Clear statement of cancellation intent

Cancellations take effect at the end of your current billing period. Cancellation requests made through any other method (social media, phone, etc.) may not be processed.

5.2 Refund Policy

Subscription fees are non-refundable. This includes:

  • Partial months or unused portions of your subscription
  • Change of mind or dissatisfaction with service
  • Failure to use the Service during your subscription period

You retain access to the Service through the end of your paid subscription period after cancellation.

Exceptions: Refunds may be provided at our sole discretion or as required by applicable law.

5.3 Termination by Econblox

We reserve the right to suspend or terminate your account for:

  • Violation of these Terms
  • Unreasonable token usage or abuse of the Service
  • Fraudulent activity or payment disputes
  • Violation of applicable laws or regulations
  • Conduct that harms the Service or other users

No refunds will be provided for terminations due to Terms violations.

6. NOT INVESTMENT ADVICE - SECURITIES DISCLAIMER

READ THIS SECTION CAREFULLY - IT LIMITS OUR LIABILITY AND YOUR RIGHTS

6.1 We Are NOT a Registered Investment Adviser

Econblox and the AI Business Advisor Service are NOT registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities authority.

We are NOT:

  • A registered investment adviser (RIA)
  • A broker-dealer
  • A financial planner
  • A securities analyst
  • A portfolio manager

6.2 No Securities Recommendations

We do NOT provide:

  • Recommendations to buy, sell, or hold specific securities (stocks, bonds, ETFs, mutual funds, options, futures)
  • Personalized investment portfolio advice or asset allocation recommendations
  • Portfolio management or ongoing investment supervision
  • Market timing advice ("good time to buy/sell")
  • Specific investment product recommendations
  • Analysis of specific securities for investment purposes
  • Advice on individual retirement accounts (IRAs), 401(k)s, or other investment accounts

6.3 What We DO Provide

We provide economics-based BUSINESS strategy advice:

  • Economic analysis of industries and market trends (general, educational)
  • Business strategy and capital allocation frameworks for business operations
  • Strategic planning and business decision-making support
  • Analysis of business fundamentals and competitive dynamics
  • M&A analysis and business valuation frameworks
  • Educational content on economic principles

6.4 Business Strategy vs. Investment Advice

This Service is designed for business owners and executives making strategic business decisions, not for managing personal investment portfolios.

6.5 Consult Qualified Investment Professionals

For personalized investment advice, you MUST consult:

  • A registered investment adviser (RIA)
  • A certified financial planner (CFP)
  • A licensed securities broker
  • Other qualified investment professional who is properly licensed and registered

Do not rely on this Service for investment decisions regarding securities, retirement accounts, or personal investment portfolios.

6.6 No Fiduciary Duty for Investment Decisions

We do NOT have a fiduciary duty to you with respect to investment or securities decisions. We are NOT responsible for:

  • Investment losses you may incur
  • Securities recommendations from other sources
  • Market performance or investment outcomes
  • Tax consequences of investment decisions

6.7 Educational Content Only

Any discussion of investments, securities, or financial markets is provided solely for educational purposes and general understanding of economic principles. Such content:

  • Is not personalized to your financial situation
  • Is not a recommendation to take any specific action
  • Should not be relied upon as the sole basis for investment decisions
  • May not be suitable for your particular circumstances

6.8 Enforcement

The AI Business Advisor is programmed to decline requests for specific securities recommendations. If you attempt to obtain securities advice through the Service, you will be redirected to appropriate licensed professionals.

7. ADVISORY NATURE OF SERVICE - NO GUARANTEED RESULTS

7.1 No Guaranteed Outcomes

The Service provides strategic business guidance and educational information based on economics principles. We do NOT guarantee:

  • Specific business results or outcomes
  • Increased revenue or profitability
  • Successful implementation of strategies
  • Accuracy of economic predictions or forecasts
  • Achievement of your business goals

Results vary based on numerous factors outside our control, including market conditions, execution, competition, and economic changes.

7.2 Your Responsibility

You are solely responsible for:

  • All business decisions you make
  • Evaluating the applicability of recommendations to your specific circumstances
  • Implementation of any strategies or advice
  • Compliance with laws and regulations in your business
  • Hiring appropriate professional advisors (legal, accounting, tax, etc.)

7.3 Not Professional Services

The Service does NOT constitute:

  • Legal advice (consult an attorney)
  • Accounting or tax advice (consult a CPA or tax professional)
  • Financial planning advice (consult a CFP or RIA)
  • Industry-specific regulatory advice (consult appropriate specialists)

While the Service may discuss topics that touch on these areas from an economics perspective, you must consult licensed professionals for specific guidance in these fields.

7.4 AI Limitations

The Service uses artificial intelligence technology, which has inherent limitations:

  • AI may occasionally produce inaccurate or incomplete information
  • AI responses are based on training data and may not reflect the most current developments
  • AI cannot replace human judgment, expertise, or professional advice
  • AI may not understand the full context of your unique situation

You should:

  • Verify important information from authoritative sources
  • Use critical thinking when evaluating recommendations
  • Consider multiple perspectives before making decisions
  • Consult human experts for complex or high-stakes decisions

8. INTELLECTUAL PROPERTY

8.1 Econblox Content

All content provided through the Service is owned by Econblox, including:

  • 430+ economics training videos
  • Transcripts and educational materials
  • Frameworks, methodologies, and analytical tools
  • AI knowledge base and prompts
  • Platform interface and design

Your License: You receive a limited, non-exclusive, non-transferable license to access this content during your active subscription for your personal business use only.

You may NOT:

  • Reproduce, distribute, or create derivative works from our content
  • Share or resell access to the Service
  • Extract or systematically download content for use outside the platform
  • Use content to train competing AI models
  • Remove or obscure copyright or proprietary notices

8.2 Your Content

You retain ownership of:

  • Business information you provide to the Service
  • Questions and inputs you submit
  • Documents you upload

License to Us: You grant us a limited license to use your inputs to:

  • Provide the Service (process questions through AI)
  • Improve the Service (we may use anonymized, aggregated data)
  • Ensure platform security and prevent abuse

We do NOT:

  • Claim ownership of your business strategies or information
  • Share your specific consultation data with competitors
  • Use your proprietary information for our own business operations

9. USER CONDUCT AND RESTRICTIONS

9.1 Acceptable Use

You agree to use the Service only for lawful business purposes and in accordance with these Terms.

9.2 Prohibited Conduct

You agree NOT to:

  • Share your account credentials with others
  • Use the Service for any illegal purpose
  • Attempt to reverse engineer or extract the underlying knowledge base
  • Upload malicious code or attempt to compromise the Service
  • Use the Service to compete with Econblox or create competing products
  • Misrepresent your identity or affiliation
  • Violate any applicable laws or regulations
  • Harass, abuse, or harm others through the Service
  • Use automated systems to access the Service (except as normal use)
  • Attempt to gain unauthorized access to any systems or data
  • Interfere with or disrupt the Service or servers

9.3 Content Restrictions

You agree NOT to upload or submit:

  • Illegal, obscene, or harmful content
  • Content that infringes intellectual property rights
  • Confidential information belonging to others (without authorization)
  • Malware, viruses, or other harmful code
  • Personal information of third parties without consent

9.4 Consequences of Violations

Violation of these restrictions may result in:

  • Immediate termination of your account
  • Legal action
  • Reporting to law enforcement
  • No refund of fees paid

10. LIMITATION OF LIABILITY

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE SERVICE
  • SPECIFIC RESULTS OR OUTCOMES

10.2 No Guarantee of Results

WE DO NOT WARRANT OR GUARANTEE THAT:

  • The Service will meet your specific requirements
  • Recommendations will achieve desired business results
  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated advice will be accurate, complete, or suitable for your situation
  • Defects or errors will be corrected

10.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ECONBLOX SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of goodwill
  • Investment losses or financial damages
  • Damages resulting from reliance on the Service

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

10.5 Jurisdictions That Don't Allow Limitations

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10.6 Basis of the Bargain

You acknowledge that the limitations in this section are a fundamental element of the basis of the bargain between you and Econblox, and that we would not provide the Service without these limitations.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Econblox, Toteflix Inc., and our officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any third-party rights
  • Business decisions you make based on the Service
  • Investment decisions or financial losses
  • Content you submit to the Service

12. PRIVACY AND DATA

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

  • We process your business questions through Anthropic's Claude API
  • We may use anonymized, aggregated data to improve the Service
  • We do not sell your personal information to third parties
  • You have rights to access, correct, and delete your data

13. MODIFICATIONS TO TERMS

13.1 Right to Modify

We reserve the right to modify these Terms at any time.

13.2 Notice of Changes

Material changes will be communicated via:

  • Email notification to active subscribers, or
  • Prominent notice on our website

Minor changes (corrections, clarifications) will be posted with an updated "Effective Date."

13.3 Acceptance of Changes

Continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to changes, you must cancel your subscription before the changes take effect.

14. DISPUTE RESOLUTION

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@econblox.com to attempt to resolve the issue informally. We will make good faith efforts to resolve disputes within 30 days of receiving your notice.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the federal laws of Canada and, where applicable, the laws of the Province of British Columbia, without regard to conflict of law provisions.

14.3 Jurisdiction and Venue

Subject to the arbitration provisions in Section 14.4, any disputes arising from these Terms or the Service shall be resolved in the courts of the Province of British Columbia. You consent to the exclusive jurisdiction of such courts.

14.4 Binding Arbitration and Class Action Waiver

READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS

14.4.1 Agreement to Arbitrate

You and Econblox agree to resolve any disputes arising from or relating to these Terms or the Service through binding arbitration, rather than in court, except as provided below.

Arbitration Rules and Location:
- For users residing in Canada: Arbitration will be conducted by the British Columbia International Commercial Arbitration Centre (BCICAC) under its Domestic Commercial Arbitration Rules in Vancouver, British Columbia, Canada.
- For users residing in the United States:  Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes in Bellingham, Washington, USA, or another mutually agreed location.
- For users residing elsewhere: Arbitration will be conducted by BCICAC in Vancouver, British Columbia, Canada, or another mutually agreed location.

If the designated arbitration provider is unavailable, the parties will select an alternative arbitral forum.*

Arbitrator's Decision:  The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

14.4.2 Exceptions to Arbitration

Either party may:
- Bring a claim in small claims court in the appropriate jurisdiction if it qualifies
- Seek injunctive relief in court for intellectual property violations or unauthorized use of the Service

14.4.3 Class Action Waiver

YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. Unless both you and Econblox agree otherwise, the arbitrator may not consolidate your claim with another person's claim and may not preside over any form of representative or class proceeding.

14.4.4 Opt-Out Right

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to support@econblox.com with the subject line "Arbitration Opt-Out" and including your name and email address. If you opt out, this arbitration provision will not apply to you, but all other Terms will remain in effect.

14.4.5 Costs and Fees

Attorney's Fees: Each party will be responsible for paying their own attorney's fees, except as provided below or as awarded by the arbitrator.

Arbitration Fees:

For Claims Under $10,000: If your claim is for less than $10,000 (USD or CAD as applicable), Econblox will pay all arbitration filing fees and arbitrator compensation fees. You will be responsible for your own attorney's fees and any other costs you incur.

For Claims Over $10,000:  For claims of $10,000 or more, arbitration fees will be allocated in accordance with the arbitration provider's rules.

Frivolous or Bad Faith Claims: If the arbitrator determines that your claim was frivolous, filed in bad faith, or primarily for harassment purposes, you agree to reimburse Econblox for:
- All arbitration filing and arbitrator fees paid on your behalf
- Reasonable attorney's fees and costs incurred in defending the claim
- Any other expenses and costs related to the arbitration

The arbitrator has the authority to award costs and fees to the prevailing party as permitted by applicable law and the arbitration provider's rules.

Cost Reimbursement for Successful Claims: If you prevail in arbitration and the arbitrator determines that Econblox's defense was frivolous or in bad faith, Econblox will reimburse you for your reasonable attorney's fees and costs.

14.4.6 Severability

If any part of this arbitration provision is found to be unenforceable, the remainder will continue in effect. If the class action waiver is found to be unenforceable, the entire arbitration provision shall be null and void.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Econblox regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, government actions, natural disasters, or internet/telecommunications failures.

15.7 Survival

Provisions that by their nature should survive termination shall survive, including: Sections 6, 7, 8, 10, 11, 14, and 15.
